1. Acceptance of Terms

By creating an account or using Mindex, you agree to these Terms. If you do not agree, do not use the service.

You must be at least 18 years old to use Mindex. By using the service, you represent that you meet this age requirement.

2. Description of Service

Mindex is an AI-powered knowledge base platform that provides:

• Document storage and management.
• Semantic indexing and embedding generation.
• Knowledge graph construction and maintenance.
• Semantic search and GraphRAG context retrieval.
• MCP (Model Context Protocol) integration.
• API access for programmatic use.

The service processes your documents using artificial intelligence, including third-party AI providers, to deliver these features.

3. Your Account

You are responsible for:

• Maintaining the confidentiality of your credentials.
• All activity that occurs under your account.
• Providing accurate and up-to-date information.
• Notifying us immediately of unauthorized access.

One person per account. Sharing accounts is not permitted. Organization accounts may have multiple members with different roles (owner, admin, member).

4. Your Content

You retain all intellectual property rights to content you upload. By uploading content, you grant Mindex a limited, non-exclusive license to:

• Store, process, index, and embed your content.
• Send content to third-party AI providers for enrichment (tagging, linking, embedding).
• Display content back to you and authorized organization members.

This license exists solely to provide the service and terminates when you delete your content or account.

We do not claim ownership of your content. We do not use your content to train AI models.

5. Acceptable Use

You agree NOT to:

• Upload illegal, harmful, or infringing content.
• Use the service for any unlawful purpose.
• Attempt to reverse engineer or decompile the service.
• Circumvent rate limits, security measures, or access controls.
• Use automated tools to scrape or extract data beyond API rate limits.
• Impersonate others or misrepresent your affiliation.
• Interfere with the service's operation or other users' access.
• Upload malware, viruses, or malicious code.

Violation may result in immediate suspension or termination.

6. Third-Party Services

Mindex integrates with third-party services:

• Stripe— payment processing.
• AI providers (OpenAI, Anthropic, Google) — document processing.
• Google Analytics— usage analytics.

Each service is governed by its own terms and privacy policy. We are not responsible for third-party services' practices.

7. Service Availability

The service is provided "as is" and "as available." We do not guarantee:

• 100% uptime or uninterrupted access.
• That the service will be error-free.
• That results from AI processing will be accurate or complete.
• Preservation of data beyond our reasonable backup measures.

We make commercially reasonable efforts to maintain availability and will notify users of planned maintenance when possible.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• Mindex is not liable for indirect, incidental, special, consequential, or punitive damages.
• Total liability is limited to the amount you paid us in the 12 months preceding the claim.
• This applies regardless of the theory of liability (contract, tort, strict liability, etc.).

Some jurisdictions do not allow limitation of certain damages. In such cases, our liability is limited to the minimum extent permitted by law.

9. Cancellation and Termination

By you: You may cancel your account at any time. Your data will be deleted after a 30-day grace period. During the grace period, you may request data export. After deletion, data cannot be recovered.

By us: We may suspend or terminate your account if you violate these Terms, if required by law, or if we discontinue the service. We will provide reasonable notice when possible. If we terminate without cause, you will receive a pro-rata refund of any prepaid fees.

10. Pricing and Plan Limits

Mindex offers multiple subscription plans with different pricing, storage limits, rate limits, and feature availability. The current plans and their details are available on our pricing page.

We reserve the right to modify pricing, plan limits, and plan features at any time. Changes to pricing or plan limits will be communicated via email at least 30 days before taking effect.

• Price changes will not affect the current billing period you have already paid for. New pricing will apply from the next billing cycle.
• If plan limits are reduced, we will make reasonable efforts to provide a transition period for users who exceed the new limits.
• If you disagree with pricing or limit changes, you may cancel your subscription before the new terms take effect and receive a pro-rata refund for the unused portion of your current period.
• Continued use of the service after the effective date of pricing or limit changes constitutes acceptance of the new terms.

Free plans may be modified, limited, or discontinued at our discretion with 15 days prior notice.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil. Any disputes arising from these Terms or your use of the service shall be resolved exclusively in the courts of the State of Minas Gerais, Brazil.

If you are in the European Union, nothing in these Terms affects your rights under mandatory EU consumer protection laws.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email at least 30 days before taking effect.

Continued use after changes constitutes acceptance. If you disagree with changes, you must stop using the service and may request account deletion.
